Terms of Service

1. Acceptance of Terms

By accessing or using the WellPlated mobile application and related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use the Service.

Well Plated, Inc. (“WellPlated,” “we,” “us,” or “our”) reserves the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

2. Description of Service

WellPlated is a nutrition tracking and meal logging application designed to support individuals in their relationship with food. The Service allows users to:

• Log meals through photos and text descriptions
• Track nutritional information and eating patterns
• Connect with healthcare providers and caregivers
• Receive AI-powered meal analysis and insights
• Log meals via SMS text messaging (optional feature)

3. Eligibility

You must be at least 13 years of age to use the Service. If you are under 18, you represent that you have obtained parental or guardian consent to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

4. Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent or harmful activities.

5. User Content

You retain ownership of content you submit to the Service, including meal photos, descriptions, and notes (“User Content”). By submitting User Content, you grant WellPlated a non-exclusive, worldwide, royalty-free license to use, store, and process your User Content solely for the purpose of providing and improving the Service.

You represent and warrant that:

• You own or have the right to submit your User Content
• Your User Content does not violate any third-party rights
• Your User Content does not contain illegal or harmful material

6. SMS Messaging Terms

If you opt-in to SMS meal logging, the following additional terms apply:

• You consent to receive text messages from WellPlated at the phone number provided
• Message frequency varies based on your usage of the SMS logging feature
• Message and data rates may apply depending on your mobile carrier
• You may opt-out at any time by replying STOP to any message
• Reply HELP for assistance with SMS features

SMS meal logging is an optional feature. Standard app functionality remains available without enabling SMS features.

7. Healthcare Disclaimer

The Service is not a substitute for professional medical advice, diagnosis, or treatment. WellPlated is designed to support nutrition tracking and awareness, not to provide medical care.

• Always seek the advice of qualified healthcare providers with questions about medical conditions or dietary needs
• Never disregard professional medical advice or delay seeking it because of information provided by the Service
• If you are experiencing a medical emergency, contact emergency services immediately

Nutritional information provided by the Service is estimated using AI analysis and may not be completely accurate. Use this information as a general guide only.

8. Prohibited Conduct

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or servers
• Upload malicious code, viruses, or harmful content
• Impersonate any person or entity
• Harass, abuse, or harm other users
• Use the Service to send spam or unsolicited messages
• Scrape, data mine, or extract data from the Service without permission

9. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are owned by WellPlated and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written consent.

10. Third-Party Services

The Service may integrate with or contain links to third-party services. We are not responsible for the content, privacy policies, or practices of third-party services. Your use of third-party services is at your own risk and subject to their respective terms and conditions.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We do not guarantee the accuracy of nutritional information or AI-generated content.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WELLPLATED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless WellPlated and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or violation of any third-party rights.

14. Termination

You may terminate your account at any time by contacting us or using the account deletion feature in the app. We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice.

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Multnomah County, Oregon.
